1. Agreement to Terms

Welcome to True Take Studios, a DL Enterpriser Sales Company ("we," "our," or "us"). By accessing or using our website at truetakestudios.com (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Site.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting with an updated "Last Updated" date. Your continued use of the Site after changes constitutes acceptance of the revised Terms.

2. Services Description

True Take Studios provides user-generated content (UGC) creation services, including product reviews, brand partnership content, and authentic video testimonials. The Site serves as a portfolio and inquiry platform for potential brand collaborations.

All services are provided on an inquiry basis. Viewing the Site does not create any contractual relationship or obligation. Specific service agreements are negotiated separately between True Take Studios and clients.

3. Intellectual Property Rights

3.1 Site Content Ownership

All content on the Site, including but not limited to text, graphics, logos, images, videos, audio clips, and software, is the property of True Take Studios or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

3.2 Video Content Rights

All video content displayed on the Site is owned by True Take Studios unless otherwise noted. Videos created for brand partners are subject to separate licensing agreements negotiated between True Take Studios and the respective client. Unauthorized use, reproduction, distribution, or modification of any video content is strictly prohibited.

3.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes only. You may not copy, modify, distribute, sell, or lease any part of the Site or its content without our express written permission.

4. Prohibited Uses

You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Site. Prohibited activities include, but are not limited to:

• Downloading, copying, or redistributing video content without authorization
• Using automated systems (bots, scrapers) to access the Site
• Attempting to gain unauthorized access to any portion of the Site
• Impersonating True Take Studios or misrepresenting your affiliation with us
• Transmitting viruses, malware, or other harmful code

We do not warrant that: (a) the Site will be uninterrupted, secure, or error-free; (b) defects will be corrected; (c) the Site is free of viruses or harmful components; or (d) the information on the Site is accurate, complete, or current.

Video content displayed on the Site represents past work and does not guarantee future results for any brand partnership or campaign.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUE TAKE STUDIOS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Site
• Any conduct or content of any third party on the Site
• Unauthorized access, use, or alteration of your communications or content
• Any errors, mistakes, or inaccuracies of content on the Site
• Personal injury or property damage resulting from your use of the Site

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

9. Indemnification

You agree to defend, indemnify, and hold harmless True Take Studios, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of any third-party rights, including intellectual property rights

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts located in Canada.

You agree to first attempt to resolve any dispute informally by contacting us before initiating any formal legal proceedings.

11. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and True Take Studios regarding your use of the Site and supersede all prior agreements and understandings, whether written or oral.
